一、外商独资企业所需材料清单
Materials For Establishing Foreign-Funded Enterprise

1.外国公司或个人开业证明或护照复印件，需中国驻当地大使馆认证，原件2份Foreign company or personal operation certification as attested by Chinese embassy to the very place in 2 originals or passport copies

2.投资方法人代表身份证明复印件
One copy of identification card (or passport) of the
chairman of the investor

3. 新公司董事会成员身份证明（或护照复印件），简历，家庭住址，联系电话，董事长或法人代表二张照片
One copy of identification card (or passport) of the board
of the directors and general manager vice one) of the
junior enterprise. Their resume, address and telephone
number will be needed. Each one should prepare two
personal photos for being used.

4.由投资方法人代表签字，公司盖章的授权书二份（正本）
The Appointment and Authority should be singed by the
legal representative of investor

5.投资方概况
Outline of the investor (total volume of trade, operation
scope, annual profit)

6.外国公司或个人银行资信证明原件2份 Foreign company or personal bank reference letter in 2 originals

7.被授权人身份证复印件
One copy of identification Card (or passport) of the
person will be authority

8.房屋产权证复印件，房屋租赁合同原件，需房地产管理局备案Copy of real estate title and original of premises tenancy contract having been registered in Real Estate Administration

二、收费标准

上海市外商投资项目咨询、代理工作的若干规定

第一条为了加强对本市外商投资项目咨询、代理工作的管理，为外商投资项目的国内外投资者提供服务和帮助，制定本规定。

第二条在本市进行外商投资项目咨询、代理业务活动，必须遵守本规定。

第三条
外商投资项目咨询工作是指咨询单位接受国内外投资者的委托，为委托方在本市举办中外合资经营企业、中外合作经营企业和外资企业（以下简称外商投资企业）提供咨询服务。外商投资项目代理工作是指代理单位接受国内外投资者的委托，参与谈判，并代理委托方编制举办外商投资企业的项目建议书、可行性研究报告，拟订合同、章程或办理申请报批手续等业务。

第四条咨询、代理单位一般不应同时接受同一项目投资双方的委托。但经双方委托人书面同意的除外。

第五条从事外商投资项目咨询、代理工作的单位必须具备下列条件，经上海市对外经济贸易委员会（以下简称市对外经贸委）批准后，
报上海市人民政府主管外国投资工作的部门备案：
